Standard Terms of Engagement

Policy.

The fine print, but readable. These are the standard terms every Diffract Studios engagement runs on — designed to keep builds fast, scoped, and shipped on time.

Project Handover Policy

All digital assets, custom Figma layouts, and live Framer site code remain the intellectual property of Diffract Studios until the final 50% project balance has been processed and cleared. Live deployment, custom domain mapping, and primary account credential transfers will not be initiated under any circumstances prior to final invoice clearance.

Deposit & Project Cancellation Policy

Initial 50% mobilization deposits are strictly non-refundable once custom research, asset compilation, or Figma wireframing has commenced. In the event of unilateral client termination or project abandonment before live deployment, the collected upfront deposit serves as a liquidated project kill fee to cover the dedicated studio hours allocated to the brand layout.

The 14-Day Lock

Client Latency & Project Stagnation Policy

Clients are required to maintain active communication throughout the development pipeline. Should a client fail to provide required feedback, communication, or approvals for a period exceeding 5 consecutive calendar days without prior written agreement, the project will be deemed abandoned. The initial deposit will be forfeited, and the project slot will be released. Re-activating a stagnant project requires a mandatory $50 administrative re-mobilization fee.

Asset Provision & Content Deadline Policy

To maintain the standard 7-to-14-day deployment schedule, the client must supply all essential text, operational data, menus, and existing brand collateral within 7 calendar days of deposit clearance. If the project includes a Premium Visual Content Package, the on-site media production capture session must be formally scheduled within this same 7-day window. Failure to deliver assets within this timeframe may result in project scheduling delays.

Scope Creep & Feature Boundary Guard

The selections, tiers, and add-ons verified via the initial intake portal form the definitive structural blueprint for the build. Any structural revisions, additional sections, or functional integrations requested during the development lifecycle that deviate from this original blueprint will be subject to an isolated line-item invoice billed at a flat rate of $50 per modification, or will require a formal upgrade to the next operational tier.

The 2-Round Cap

Iterative Design & Review Constraints

Post-launch structural and aesthetic modifications are strictly limited to two (2) consolidated rounds of revisions during the standard support window.

Round 1

The client must compile and submit a singular, definitive checklist of desired visual or textual adjustments.

Round 2

Following execution of the initial adjustments, the client may submit a final confirmation checklist to resolve residual minor points.

Any subsequent modifications requested outside of these two formal cycles will be billed independently at standard maintenance rates.

Platform Dependency Agreement

Diffract Studios builds websites using top-tier, third-party infrastructure (Repaint). Diffract Studios does not own or control this hosting platform. In the extremely unlikely event that the third-party platform experiences downtime, goes out of business, or terminates its services, Diffract Studios is not legally or financially responsible for the loss of the website, nor are we required to rebuild the website on a new platform for free.
